Sarda Energy Declares ₹1.50/Share Dividend, Padam Kumar Jain Re-appointed

Sarda Energy & Minerals Ltd. has announced a dividend of ₹1.50 per equity share (150%) with a face value of ₹1 for the financial year 2024-25. The board also approved the re-appointment of Mr. Padam Kumar Jain as a Wholetime Director for five years starting June 1, 2026.

The decisions were made during the 52nd Annual General Meeting (AGM) held on Thursday, September 25, 2025, via video conferencing. The meeting commenced at 11:30 a.m. and concluded at 12:20 p.m.

In addition to the dividend announcement and the re-appointment of Mr. Padam Kumar Jain, the AGM saw several other key decisions.

The members approved the adoption of the audited standalone and consolidated financial statements for the financial year ending March 31, 2025. They also ratified the payment of remuneration to M/s. S.N. & Co. as Cost Auditors for the fiscal year 2025-26.

Furthermore, Ms. Tripti Sinha was re-appointed as an Independent Director for a second consecutive term of five years starting October 20, 2025. The board also received authorization to issue debt securities up to ₹1,000 crore.

The meeting was chaired by Mr. Kamal Kishore Sarda, who welcomed the shareholders and introduced the Board members. The Chairman confirmed the presence of the Company Secretary, Statutory Auditors, and Secretarial Auditors.

The Company Secretary informed the members that the results of the remote e-voting and e-voting at the 52nd AGM will be declared within the prescribed time upon receipt of voting details from NSDL and the Scrutinizer's Report. The same shall be posted on the Company's website, on the website of NSDL and communicated to the Stock Exchanges viz. BSE Limited and National Stock Exchange of India Limited
