ISS RECOMMENDS SHAREHOLDERS VOTE AGAINST PROPOSED ALL-SHARE COMBINATION BETWEEN THIRD POINT INVESTORS LIMITED AND MALIBU LIFE REINSURANCE ("PROPOSED TRANSACTION")

The Group today notes the publication of the voting recommendation from ISS, the independent proxy adviser, in relation to the forthcoming Third Point Investors Limited ("TPIL") EGM, scheduled for 14th August 2025 at 10:00 a.m.
ISS has recommended that TPIL shareholders vote AGAINST all resolutions.
The Group intends to write to VoteCo's directors today to draw their attention to ISS's analysis.

Shareholders are reminded to submit their proxy votes in accordance with the instructions set out in the shareholder Circular dated 25th July 2025.
