Vancouver, British Columbia – TheNewswire --(September 17, 2025) – Northern Lights Resources Corp. (“Northern Lights” or the
“Company”) 
NLR NLRCF, announces that it hascompleted a non-brokered private placement to raise gross proceeds ofC$400,000 consisting of 8,000,000 units (the "Units")offered at a price of $0.05 per Unit (the "Offering").
Northern Lights CEO, Jason Bahnsen,commented "We aredelighted to welcome a new strategic investment group to NorthernLights. The funds raised will allow the Company to begin work at theHoretzky Project with a strategy to de-risk the project and unlockvalue.”
Each Unit is comprised of one common share of the Company (a"Share") and one common share purchase warrant (a"Warrant"). Each Warrant is exercisable, at a price of$0.06, into one common share for a period of 36 months from the dateof issue.
The proceeds of the Offering will be applied to advancing theCompany’s Horetzky Project located in the Babine Copper PorphyryBelt of Central British Columbia and other exploration and workingcapital requirements, positioning the Company to achieve bothimmediate and long-term objectives.
No finders fees are payable in connection with the Offering. Thesecurities issued under the Offering will be subject to a hold periodunder applicable securities laws in Canada expiring four months andone day from the closing date of the Offering.
